General information
These contractual terms apply to all work to be performed (referred to hereinafter as “language services”), unless agreed otherwise in writing.

Order placement
Unless agreed otherwise by the principal and proverb, an order for language services will be considered to have been placed upon receipt of the text to be translated/edited. Placement of an order for language services by a third party results in the joint and severable liability of said party.

Purpose
When placing an order for a translation, the client must indicate the intended purpose of the translation (e.g. printed matter for external use or internal use for purposes of orientation).

Instructions relating to the execution and delivery of the translation must be communicated upon submission of the materials to be translated.

proverb undertakes to deliver translations to a professional standard commensurate with that of the original material. However, proverb is not obliged to satisfy subjective stylistic preferences on the part of the client.

The original texts supplied to proverb will serve as the basis for translations. proverb cannot accept liability for errors which arise as a result of lack of clarity in the original text, or poor legibility or incompleteness of the original submitted.

Translations intended for publication must always be submitted to proverb for proofreading prior to printing; otherwise proverb cannot accept any liability.

Quotes/Invoicing/Payments
Unless agreed otherwise (e.g. indicative offers), quotes issued by proverb are binding.

proverb quotes are valid for six weeks from the date of issue.

Completed orders for language services will be billed by proverb on the basis of the translated/edited text and the prices valid at the time.

Payments due to proverb must be settled within 10 days of the invoice date.

proverb retains the copyrights on completed orders for language services until payment has been received.

Delivery deadlines
proverb completes orders for language services pursuant to customer specifications and quality assurance requirements as quickly as possible.

Guarantees for expedited delivery are offered only by explicit arrangement with proverb; in such cases proverb may charge an express fee and/or qualify their quality guarantee.

Duty of care and confidentiality
proverb pledges to treat all client materials with the utmost care and confidentiality.

Retention of documents
Unless materials supplied by the client are declared to be original documents or identifiable as such, proverb will assume that they are copies. proverb does not return copies to clients unless expressly requested to do so.

proverb remains responsible for original documents supplied by the client only for as long as they remain in our care.

Cancellation
If an order for language services is cancelled or postponed, payment will be owed for the costs of all work performed and charges incurred up to the date of cancellation or postponement.

Force majeure
In cases of force majeure (strikes, fires, industrial actions, natural disasters, acts of war and any other unforeseeable occurrences which demonstrably influence the physical performance of the contract) proverb must inform the client without delay, specifying the circumstances. Force majeure entitles either party, proverb or the client, to withdraw from the contract.

In every case, however, the client will owe proverb payment for work already performed and delivered.

Complaints
Complaints must be submitted to proverb within 30 days of delivery of the work.

If complaints are justified, proverb is entitled to revise the translation concerned or have it translated again. proverb expressly disclaims any further liability.

Place of jurisdiction
The place of payment and jurisdiction is Vienna.
